Hassala Terms of Use
These Terms of Use, together with Hassala's Privacy Policy, set out and constitute the terms and conditions (the “Terms”) that apply to your access to and use of all Hassala services (collectively, the “Hassala Services”). The Hassala Services are provided through our websites, including, without limitation, www.hassala.app, and through any downloadable mobile application, if available (collectively, the “Site”). “Hassala” includes Hassala Technology L.L.C. and its managers, directors, employees, consultants, affiliates, subsidiaries, and agents.
1. Registration and Account Security
To use the Services, you must: (1) be at least eighteen (18) years old; (2) not have previously been suspended, removed, or barred from receiving any of the Services; and (3) register for and use the Services in accordance with all applicable laws and regulations.
Account registration: To access and use certain features of the Services, you may be required to register for an account. When you register, we may ask you to provide certain identifying information, including, without limitation, your email address and other contact information, and to create a username and password (the “Registration Information”). When registering for and maintaining an account, you agree to provide true, accurate, current, and complete information about yourself. You also agree not to impersonate any person, misrepresent any affiliation with another person, use false information, or otherwise conceal your identity for any purpose.
You are responsible for your account: You alone are responsible for maintaining the confidentiality and security of your password and other Registration Information. For your protection and the protection of other users, we ask you not to share your Registration Information with anyone else. If you share this information with anyone, we will treat their activities as having been authorised by you.
2. Intellectual Property and User Content
Hassala and the Hassala Services are protected by applicable copyright and other intellectual-property laws. No materials from the Services may be copied, reissued, republished, uploaded, sent, transmitted, or distributed in any form without our express permission. All trademarks, service marks, and trade names are owned by Hassala, except for third-party trademarks or service marks, which belong to their respective owners. You represent and warrant that you own, or have the right to use, any content you post in connection with the Services.
3. Third-Party Services
Third-party advice: Some Services may include third-party content and products. You agree that Hassala is not responsible for any advice, service, or product provided by third parties. You agree that you are responsible for your own financial research and financial decisions, and that Hassala is not responsible for any decisions or actions that you take, or authorise third parties to take on your behalf, based on information you receive as a Hassala user.
Hassala does not endorse third parties: The Services may contain links to third-party websites and services. Hassala provides these links for convenience and does not control or endorse those websites or services. You acknowledge and agree that Hassala has not reviewed the content, advertisements, products, services, or other materials appearing on third-party websites or services; is not responsible for the legality, accuracy, or correctness of any such content; and will not be liable, directly or indirectly, for any damage or loss caused or allegedly caused by, or in connection with, the use of any third-party website or service.
4. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any law or regulation.
- Violate, or encourage others to violate, the rights of third parties, including intellectual-property rights.
- Post, upload, or distribute any content that is unlawful, defamatory, inaccurate, or that a reasonable person could consider objectionable, offensive, obscene, pornographic, harassing, threatening, hateful, or otherwise inappropriate.
- Interfere with any user's operation or enjoyment of the Services, including by uploading or disseminating viruses, adware, spyware, worms, or other malicious code; making unsolicited offers or advertisements to other users; or attempting to collect personal information about users or third parties without their consent.
- Access, monitor, or copy any content or information on the Site using any robot, spider, scraper, other automated means, or manual process for any purpose without Hassala's express written permission.
- Engage in any fraudulent activity, including impersonating any person or entity, claiming false affiliations, accessing other users' accounts without permission, or falsifying your identity or any information about yourself.
- Sell or transfer the right of use and access granted under these Terms.
5. Indemnification
You agree that you will be personally responsible for your use of the Services and that you will defend, indemnify, and hold harmless Hassala and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including lawyers' fees and accountants' fees and costs, arising out of or in any way connected with: (1) your access to or use of the Services; (2) your violation of these Terms or any applicable law or regulation; (3) your violation of any third-party right, including, without limitation, any intellectual-property, publicity, confidentiality, or proprietary right; or (4) any dispute or issue between you and any third party.
6. Termination
If you violate these Terms, your permission to use the Services will automatically terminate. In addition, Hassala may, at its sole discretion, suspend or terminate your user account and/or suspend or terminate some or all of your access to the Services at any time, with or without notice to you. You may terminate your account at any time by contacting Hassala customer service. After your account is terminated, information and content that you previously provided through your account will no longer be accessible.
7. Modification of the Terms
Hassala reserves the right, at any time, to modify these Terms and impose new or additional terms or conditions on your use of the Services. Such modifications and additional terms and conditions will take effect immediately and be incorporated into these Terms. Your continued use of the Services constitutes notice of your acceptance of any modifications to the Terms.
8. Disclaimers of Warranties
The Services are provided “as is” and on an “as available” basis, without any warranty or condition of any kind, express or implied.
Although Hassala seeks to maintain Services that are sound, secure, accurate, and functioning properly, we do not guarantee uninterrupted operation of or access to our Services, and technical errors or disruptions may occur from time to time.
a. No warranties: Hassala specifically disclaims, without limitation: (1) any implied warranties of merchantability, fitness for a particular purpose, secure use, or non-infringement; and (2) any warranties arising from course of dealing, usage, or trade. You assume all risk for any and all damages that may result from your use of or access to the Services. Hassala is not responsible for the loss, corruption, or unavailability of any information you make available through your use of the Services, and you alone are responsible for ensuring that you maintain backup copies of any information you make available through the Services.
b. No warranty of accuracy: Hassala does not warrant the accuracy of information and disclaims responsibility for any errors or other inaccuracies in information, content, recommendations, and materials made available through the Services. Hassala makes no representation that information and materials included in the Services are appropriate or available for use in other locations.
c. Services provided for informational purposes: Information provided through the Services is supplied solely for informational or educational purposes. Hassala makes no representations, warranties, or guarantees, express or implied, regarding results that may be obtained through use of the Services. Before making any financial decision or implementing any financial strategy, including third-party recommendations identified through the Services, Hassala recommends that you obtain additional information and advice from accountants or other financial advisers who are fully familiar with your personal circumstances.
d. No warranties regarding third parties: Hassala makes no representations, warranties, or guarantees, express or implied, regarding any service or advice provided by a third party or any quotation or offer made available through the Services. Hassala does not endorse any third party. Hassala may act only as an intermediary between you and third-party service providers and expressly disclaims any and all liability for content, products, or services provided by those providers.
9. Limitation of Liability
In no event will Hassala be liable for any incidental, special, consequential, direct, indirect, or punitive damages, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, whether or not Hassala was aware of the possibility of such damage.
10. Governing Law
These Terms are governed by the laws of the Arab Republic of Egypt.
11. Dispute Resolution
You and Hassala agree to submit to the exclusive jurisdiction of the competent courts of Egypt for the purpose of litigating all such disputes.
12. Modification of the Services
Hassala reserves the right to modify or discontinue some or all of the Services, temporarily or permanently, at any time without notice or further obligation to you. You agree that Hassala will not be liable to you or any third party for any modification, suspension, or discontinuance of any of the Services.
13. General
a. Entire agreement: These Terms, together with the Privacy Policy, constitute the entire and exclusive understanding and agreement between you and Hassala regarding your access to and use of the Services.
b. No waiver: A failure to require performance of any provision will not affect our right to require performance at any time thereafter. A waiver of any breach or default under the Terms will not constitute a waiver of any subsequent breach or default or a waiver of the provision itself.
c. Headings: Headings in these Terms are used for convenience only and will have no effect on the interpretation of any provision.
d. Severability: If any part of these Terms is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible and the remaining parts will remain in full force and effect.
e. Third-party terms: In some cases, third-party service providers require Hassala users to agree to certain additional terms of use for specific products or services (“Third-Party Terms”). If there is any conflict between Third-Party Terms and the Hassala Terms of Use, the Hassala Terms of Use will apply and prevail.
